No Prep Performance – Terms & Conditions of Trade

These Terms and Conditions outline how No Prep Performance (“we”, “our”, or “us”) supplies engines, engine parts, and machining services to our customers (“you”, “the customer”, or “purchaser”).
By placing an order or purchasing from us, you agree to these Terms.


1. Supply of Goods and Services

  • We supply goods and services under these Terms only.

  • Any quotes we provide are valid for 30 days and may include additional terms specific to that quote.

  • Orders are only confirmed once we accept them in writing or begin work.

  • We reserve the right to refuse any order at our discretion.

  • All descriptions, specifications, and images provided are for general reference only.


2. Pricing

  • Prices are as listed in our current price list unless otherwise agreed in writing.

  • Prices exclude GST, freight, insurance, and other applicable charges.

  • Any variations requested by the customer may alter the price.

  • Prices may change if our supply costs change (for example, due to exchange rates, freight, or supplier price increases).


3. Payment Terms

  • Payment must be made in full before collection or delivery unless otherwise arranged in writing.

  • We may require full payment upon delivery or completion of services.

  • Payment must be made without deductions or offsets.

  • Payment terms may be changed or withdrawn at our discretion.


4. Payment Default

If payment is not made by the due date:

  • All outstanding amounts become immediately due.

  • Interest and recovery costs (including legal and collection fees) may apply.

  • We may suspend or cancel further work or deliveries.

  • We may terminate any existing agreement without affecting prior rights.

We may also enforce these terms if the customer becomes bankrupt or insolvent.


5. Ownership of Goods

  • Ownership of goods remains with No Prep Performance until payment is received in full.

  • Until that time, goods must be stored safely and kept separate from other items.

  • If payment is not made, we may recover our goods from your premises without notice.

  • You must inform us immediately if the goods are subject to any legal claim or seizure.


6. Risk and Insurance

  • Risk passes to you once goods leave our premises, even if delivery is arranged by us.

  • You are responsible for insuring goods once dispatched.

  • We are not responsible for any loss, damage, or injury caused by misuse, improper installation, or neglect.


7. Delivery

  • Delivery dates are estimates only, but we’ll do our best to meet them.

  • Delivery is deemed complete when goods are collected or dispatched from our premises.

  • All delivery costs (including freight, packing, and insurance) are your responsibility.

  • If goods are not collected within 14 days of notification, storage fees may apply.


8. Warranty

  • Long engines come with a 30-day limited warranty.

  • Short engines have no warranty, as the final assembly is not completed by our team.

  • No warranty applies to second-hand or used goods.

  • Our warranty does not cover issues caused by:

    • Improper installation, maintenance, or lubrication

    • Over-revving, overheating, or oil starvation

    • Modifications or repairs by unauthorised persons

    • Contaminated fuel, coolant, or air systems

If you experience an issue, contact us immediately so we can assess it.


9. Returns & Exchanges

  • You must notify us of any defects or shortages within 3 days of delivery.

  • Goods must not be modified, installed, or used before inspection.

  • Returned items must be in original condition and packaging.

  • Special-order or custom items cannot be returned.

  • Freight costs for returns are your responsibility unless agreed otherwise.

Exchange Core Policy

A refund for core deposits will be issued when:

  • The core is complete, undamaged, and matches the make and model supplied.

  • It is returned within 14 days of purchase in the original crate.

  • Any missing or damaged parts may reduce the refundable amount.

Damaged Core Policy

Depending on condition, deductions from the core deposit may apply:

  • 80% for major damage or incorrect unit

  • 50% for gearbox lug or similar damage

  • 10% for minor damage or missing parts


10. Limitation of Liability

  • Our liability is limited to repair, replacement, or refund at our discretion.

  • We are not responsible for indirect or consequential losses (e.g. loss of profits, downtime, or inconvenience).

  • We are not liable for delays caused by circumstances beyond our control (force majeure).


11. Force Majeure

We are not liable for delays or non-performance caused by events outside our reasonable control — such as accidents, supplier delays, transport issues, natural disasters, or government restrictions.


12. Governing Law

These Terms are governed by the laws of Victoria, Australia.
Any disputes will be handled by the courts of Victoria.
